These Terms & Conditions (the "Terms") form a binding agreement between the Provider and each person who accesses the Website or buys from it. Please read them before placing an order.
1. Definitions and interpretation
1.1 In these Terms:
- "Provider" means MB "Koba Group", whose contact details are in clause 15.6.
- "Website" means kotrynabass.com and its sub-domains, including any course or checkout platform operated under them.
- "You" means the person who accesses the Website or buys a Product.
- "Consumer" means a natural person who buys a Product for purposes outside their trade, business, craft or profession.
- "Product" means any digital product or service offered through the Website, including courses, programmes, memberships, communities, templates, downloads, Custom GPTs, prompts and free resources.
- "Digital Content" means data supplied in digital form, such as files, videos, text, templates and software-based resources.
- "Order" means Your request to buy a Product, and "Contract" means the agreement formed when the Provider accepts it under clause 4.3.
- "Intellectual Property Rights" means copyright, database rights, trade marks, trade names, domain names, know-how and all similar rights anywhere in the world, registered or not.
1.2 Headings are for convenience only. "Including" means "including without limitation". A reference to a law is a reference to it as amended or replaced.
1.3 If these Terms and a Product page conflict on the features, price or access period of that Product, the Product page prevails for that Product only.
2. Provider, scope and acceptance
2.1 These Terms apply to every use of the Website and every Contract, and replace any earlier terms for the same subject matter. They do not apply to services run by third parties, which are governed by those parties' own terms (clause 10).
2.2 You accept these Terms by using the Website, creating an account, ticking the acceptance box at checkout or placing an Order, whichever happens first. If You do not accept them, You must not use the Website or order Products.
2.3 You confirm that You are at least 18 years old, or that You have the consent of a parent or legal guardian, and that You have legal capacity to enter into a Contract.
2.4 If You buy for a business, You confirm that You have authority to bind it. The consumer protections in clause 6 and clause 15.3 apply only to Consumers.
3. Products and services
3.1 The Provider offers educational and informational Products for people who wish to build online income, including courses and programmes, memberships and communities, and Digital Content such as templates, prompts and Custom GPTs. No physical goods are sold or shipped.
3.2 Each Product page states the main features, contents, format and any access period. The Provider takes reasonable care to describe Products accurately, but images, screenshots, and examples are illustrative.
3.3 The Provider may update, improve, reorganise or discontinue a Product. Where a change is material and affects Your paid access, the Provider will notify You and, if the change materially reduces what You paid for, offer a reasonable remedy, which for a Consumer includes the rights in clause 6.
3.4 Live sessions, calls and bonuses are offered as described at the time of sale. If a live element is rescheduled or replaced by a recording, that does not give rise to a refund unless clause 6 applies.
4. Orders, prices, taxes and payment
4.1 Prices are shown in euros (EUR) unless stated otherwise. For Consumers in the European Union, displayed prices include VAT where VAT is due; for other buyers, applicable taxes are calculated at checkout based on the information You provide.
4.2 The display of a Product on the Website is an invitation to make an offer, not an offer. Your Order is Your offer to buy.
4.3 A Contract is formed when the Provider sends an order confirmation by email or gives You access to the Product, whichever happens first. The Provider reserves the right to decline any Order, including for suspected fraud, chargeback history, pricing errors, or breach of these Terms. If an Order is declined, the Provider will refund any amount already processed.
4.4 Payment is processed by independent third-party payment providers. The Provider does not receive or store Your full payment card details. By paying, You authorise the charge and confirm that You are entitled to use the payment method.
4.5 Where a Product is sold by instalments or as a subscription, You authorise the Provider to charge the amounts and intervals shown at checkout until the plan is completed or cancelled. You may cancel a subscription at any time with effect from the next billing date. Missed instalments are payable in full, and the Provider may suspend access until they are paid.
4.6 Discounts, coupon codes and promotions apply only as stated in the offer, cannot be combined unless the offer says so, and do not apply retroactively to past Orders.
4.7 If a chargeback or payment dispute is opened without first contacting the Provider to request a resolution, the Provider will immediately terminate or suspend Your access to the Product and all associated platforms while it is investigated.
5. Supply and access to digital content
5.1 Digital Content is supplied electronically, normally immediately after payment is confirmed, by download link, email or access to a hosted course or membership platform. Supply occurs when the link or access is made available to You.
5.2 Unless the Product page states a fixed access period, access to a course or membership continues for as long as the Provider makes that Product available. If the Provider decides to withdraw a Product, it will give reasonable notice and allow You a reasonable period to download or complete the content that is downloadable.
5.3 You are responsible for giving a correct email address, for keeping login details confidential, and for having a device and internet connection suitable for the Product. Access is personal to You and cannot be shared, sold, or transferred. You are responsible for all activity under Your account.
5.4 If You have not received access within 24 hours of payment, check Your spam folder and then contact the Provider under clause 15.6. The Provider will remedy any supply failure without undue delay.
6. Consumer withdrawal, refunds and conformity
6.1 Digital products are non-refundable. All Products are Digital Content or digital services that are made available electronically and can be accessed, downloaded and copied immediately, so they cannot be returned. Once access or a download link has been provided, all sales are final and non-refundable, and no refund, return or exchange is offered because of a change of mind, dissatisfaction with results, or because the Product was not used. This does not affect a Consumer's rights under clauses 6.2 to 6.9, which apply only where mandatory law gives them.
6.2 Immediate Supply and Explicit Waiver of Withdrawal. By placing an Order for Digital Content or digital services, the Consumer must explicitly request immediate performance via a dedicated checkout mechanism. The Consumer explicitly acknowledges and agrees that:
* (a) They expressly request and consent to the supply and delivery of the Product beginning immediately upon checkout during the statutory 14-day withdrawal period.
* (b) By giving this express consent, they completely and irrevocably lose their right of withdrawal and refund the exact moment the delivery, download link, account access, or performance begins.
* (c) Access is considered delivered and performance begun the moment a download link is sent, a file download is initiated, or login access to a course, membership, or dashboard is generated and made available, as recorded by the Provider's servers or delivery platforms.
6.3 Digital services and memberships. Where a Product is a service (for example a membership, community, programme or live sessions delivered over time) and the Consumer has expressly requested that it begin during the 14-day withdrawal period: (a) if the Consumer withdraws within that period, the Consumer must pay an amount proportionate to what has been supplied up to the moment the Provider was informed of the withdrawal, compared with the full coverage of the Contract; and (b) if the service has been fully performed before the withdrawal period ends, and the Consumer gave prior express consent and acknowledged that the right of withdrawal is lost once the service is fully performed, the right of withdrawal ends. The Consumer does not owe a proportionate amount if the Provider did not give the information required by law about the right of withdrawal and its conditions before the Contract was concluded.
6.4 Extended period. If the Provider has not given the Consumer the required information on the right of withdrawal, the withdrawal period ends 12 months and 14 days after the day on which it would otherwise have started. If the Provider gives that information within the 12 months, the period ends 14 days after the day the Consumer receives it.
6.5 How to withdraw. To withdraw, the Consumer must inform the Provider of the decision by an unequivocal statement. This may be done by email to the address in clause 15.6 stating the Order and the intention to withdraw. The Consumer meets the deadline by sending the statement before the withdrawal period ends. The Provider will confirm receipt of the withdrawal on a durable medium without undue delay.
6.6 Refund after a valid withdrawal; no retained copies. If a Consumer validly withdraws, the Provider will refund the payments received for the Contract, less any proportionate amount payable under clause 6.3, without undue delay and no later than 14 days after being informed of the decision to withdraw, using the same payment method and at no cost to the Consumer unless the Consumer expressly agrees otherwise. Where any Digital Content has already been opened, downloaded or accessed, the Consumer must stop using it, delete every copy in any form, and, as a condition of the refund to the extent permitted by law, confirm in writing that all copies have been deleted and none retained, shared or used. The Provider may refuse or reclaim a refund where a withdrawal is abusive, such as where a Consumer withdraws while keeping or using the Digital Content, to the extent permitted by law. The Provider will not use any content the Consumer created, other than personal data, except as the law allows.
6.7 Conformity of Digital Content. The Provider must supply Digital Content and digital services in conformity with the Contract, in line with Directive (EU) 2019/770 as implemented in Lithuanian law. If a Product is not in conformity, the Consumer should contact the Provider, who will bring it into conformity free of charge within a reasonable time and without significant inconvenience to the Consumer. If the Provider does not do so, or the lack of conformity is serious or persists, the Consumer is entitled to a price reduction or to terminate the Contract and receive a refund, as provided by mandatory law. These rights apply in addition to, and independently of, the right of withdrawal.
6.8 Business buyers. A buyer who is not a Consumer has no statutory right of withdrawal. Sales to such buyers are final and non-refundable except where mandatory law or a written guarantee on the Product page provides otherwise.
6.9 Mistaken or duplicate charges. Any amount charged twice or in error will be refunded in full.
6.10 Discretionary refunds and payment processing fees. The Provider has no obligation to grant a refund except where these Terms or mandatory law require one. Any refund the Provider chooses to grant outside those cases is a goodwill gesture and may be reduced by the payment processing fees and other third-party charges that the Provider cannot recover, and is paid within the refund period the payment provider allows.
7. Intellectual property and licence
7.1 Ownership. The Website and all Products, including courses, videos, audio, text, templates, graphics, prompts, instructions, Custom GPT configurations, methods, branding, logos and trade names, are protected by Intellectual Property Rights owned by or licensed to the Provider. Nothing in these Terms transfers ownership to You.
7.2 Licence. Upon payment in full, the Provider grants You a limited, personal, non-exclusive, non-transferable, non-sublicensable, revocable licence for the duration of Your access to use the Product for Your own learning and Your own business, in accordance with these Terms and any Product-specific licence on the Product page.
7.3 Permitted use. Unless the Product page says otherwise, You may customise templates and resources and use the results for Your own projects and Your own clients' end products, provided the Product itself is not made available to them as a stand-alone item.
7.4 Restrictions. You must not, and must not permit others to:
- resell, rent, lend, share, publish, distribute, sublicense or give away the Product, its source files or access credentials, in whole or in part;
- present the Product or any part of it as Your own, or use it to create a competing course, programme, template pack or training product;
- upload the Product or its contents to marketplaces, file-sharing services, public repositories or to third-party AI tools for training or replication;
- record, screen-capture, scrape, mirror or reverse engineer course content, live sessions, Custom GPTs or community discussions;
- remove or alter copyright notices, watermarks or licence information;
- use the Provider's name, trade marks or branding without prior written consent.
7.5 Your content. You keep ownership of content You post or submit. You grant the Provider a non-exclusive, worldwide, royalty-free licence to host, display and use that content as needed to operate the Website and the community. You grant a right to use testimonials or results You voluntarily send for marketing only if You separately agree in writing.
7.6 Infringement. A breach of this clause is a material breach. It may result in immediate termination without refund and in claims for injunctive relief, damages and costs, to the extent permitted by law.
8. Acceptable use and community conduct
8.1 You must use the Website and any community or membership lawfully, respectfully and for its intended purpose. You must not:
- harass, threaten, defame or discriminate against any person;
- post spam, unsolicited promotions, referral or affiliate links, or misleading or fraudulent content;
- upload or share content that is unlawful or infringes the rights of others, or that contains another person's personal data without their permission;
- attempt to gain unauthorised access to, disrupt, overload, probe or test the security of the Website or its platforms, or introduce malware;
- use automated means to scrape or extract content, or create accounts by automated means.
8.2 The Provider may moderate, edit or remove content and may warn, restrict, suspend or remove any member who breaches this clause, in line with clause 13.
8.3 Community posts are visible to other members. You are responsible for what You share and should not post confidential or sensitive information.
9. No guarantee of results
9.1 The Products are educational. The Provider does not promise, guarantee or imply that You will earn any particular amount of money, or any money, or achieve any particular business, sales or ranking result.
9.2 Income figures, sales numbers, screenshots, testimonials and case studies are examples of what the Provider or others achieved. They are not typical, average or expected outcomes. Results depend on many factors outside the Provider's control, including Your effort, skills, niche, product quality, marketing, timing, competition, platform rules and market conditions.
9.3 Nothing on the Website or in a Product is financial, investment, legal, tax or other professional advice. You are solely responsible for Your business decisions, for compliance with the laws that apply to You, and for reporting and paying any taxes on Your income. You should seek independent advice where appropriate.
9.4 This clause does not limit any statement the Provider makes in a written guarantee on a Product page, and does not exclude liability that cannot be excluded by law.
10. Third-party platforms, AI tools and affiliate links
10.1 The Products teach the use of platforms and tools that the Provider does not own or control, including Etsy, Canva, Notion, Instagram and generative AI tools such as ChatGPT. Their terms, fees, features, policies and availability may change at any time. You must comply with their terms and are responsible for Your accounts with them.
10.2 The Provider is not responsible for any suspension, restriction, policy change, outage, price change or other act or omission of a third-party platform, or for losses You suffer as a result.
10.3 AI tools can generate inaccurate, incomplete, biased or non-original output, and the law on AI-generated content and its ownership is evolving. You are responsible for reviewing anything You create, publish or sell using AI, including making sure it does not infringe third-party rights, is lawfully labelled and complies with platform rules.
10.4 The Website may link to third-party sites and may include affiliate links. If You buy through an affiliate link, the Provider may receive a commission at no additional cost to You. The Provider does not control or endorse third-party content and is not a party to any contract between You and a third party.
11. Warranties, liability and indemnity
11.1 Statutory rights preserved. Nothing in these Terms excludes or limits (a) liability for death or personal injury caused by negligence, (b) liability for fraud, wilful misconduct or gross negligence, (c) any liability that cannot be excluded or limited by law, or (d) the rights a Consumer has under mandatory consumer law, including clause 6.5.
11.2 Disclaimer. Subject to clause 11.1, and to the extent permitted by law, the Website and Products are supplied "as is" and "as available". The Provider does not warrant that the Website will be uninterrupted or error-free, or that any Product will meet Your particular requirements or produce a particular result.
11.3 Exclusion. Subject to clause 11.1, the Provider is not liable for indirect or consequential loss, or for loss of profit, revenue, business, goodwill, data or anticipated savings, arising from or related to the Website, a Product or these Terms, whether in contract, tort (including negligence) or otherwise.
11.4 Cap. Subject to clause 11.1, the Provider's total aggregate liability arising from or related to a Contract is limited to the price You paid for the Product to which the claim relates. For a Consumer, this cap applies only to losses that were not reasonably foreseeable and does not restrict statutory remedies.
11.5 Indemnity (non-Consumers). If You are not a Consumer, You will indemnify the Provider against claims, losses and reasonable costs arising from Your breach of clauses 7 or 8 or Your unlawful use of a Product.
11.6 Force majeure. Neither party is liable for delay or failure caused by events beyond its reasonable control, including outages of internet, hosting, payment or platform services, labour disputes, natural events, war, governmental acts, or illness. The affected party will resume performance as soon as reasonably possible.
12. Personal data
12.1 The Provider processes personal data in accordance with Regulation (EU) 2016/679 (GDPR) and applicable Lithuanian law, as described in the Provider's Privacy Policy published on the Website. The Privacy Policy is separate from these Terms, and nothing in these Terms limits Your data protection rights.
12.2 Marketing emails are sent only where You have subscribed or the law otherwise permits, and each message includes a way to unsubscribe. Unsubscribing from marketing does not stop transactional emails about Your Orders and access.
13. Suspension and termination
13.1 The Provider may suspend or terminate Your access, with immediate effect and without refund where lawful, if You materially breach these Terms (including clauses 5.3, 7 or 8), fail to pay amounts due, or use a Product unlawfully. Where the breach can be remedied, the Provider will normally give You notice and a reasonable chance to remedy it first.
13.2 You may stop using a Product or cancel a subscription at any time. Cancellation does not entitle You to a refund of amounts already paid, except as provided in clause 6 or by mandatory law.
13.3 On termination, Your licence under clause 7.2 ends and You must stop using the Product and delete copies of it. Clauses that by their nature should survive termination, including clauses 1, 7, 9, 11, 14 and 15, remain in force.
14. General provisions
14.1 Changes to these Terms. The Provider may update these Terms for legal, security or operational reasons, or to reflect changes to the Website or Products. The version in force on the date of Your Order governs that Contract. For continuing services such as memberships, a change takes effect after the Provider gives reasonable notice, and You may terminate before it takes effect if the change is materially unfavourable to You.
14.2 Entire agreement. These Terms, together with the Product page and order confirmation, are the entire agreement on their subject matter. You do not rely on any statement not set out in them, except for statements that are fraudulent.
14.3 Severability. If a provision is found invalid or unenforceable, the rest remains in force, and the provision is replaced by a valid one closest to its intended effect.
14.4 No waiver. A failure or delay in exercising a right is not a waiver of it.
14.5 Assignment. You may not assign or transfer Your rights or obligations without the Provider's written consent. The Provider may assign the Contract to a successor of the business, provided Your statutory rights are not reduced.
14.6 Notices. The Provider may give notices by email to the address You supplied or by posting on the Website. You may give notices to the email address in clause 15.6.
14.7 Language. These Terms are drafted in English. A translation is provided for convenience, and the English version prevails unless mandatory law requires otherwise.
14.8 Third parties. No person other than You and the Provider has rights under a Contract.
15. Governing law, disputes and contact
15.1 Governing law. These Terms and any Contract, and any non-contractual obligations arising from them, are governed by the laws of the Republic of Lithuania, without regard to conflict-of-law rules.
15.2 Jurisdiction. The courts of the Republic of Lithuania have exclusive jurisdiction over disputes with business buyers.
15.3 Consumers. A Consumer keeps the protection of mandatory consumer law of their country of habitual residence and may bring proceedings in the courts of that country or of Lithuania.
15.4 Informal resolution. Before starting formal proceedings, each party will try in good faith to resolve a dispute by contacting the other under clause 15.6 and allowing at least 30 days for a response.
15.5 Out-of-court dispute resolution. A Consumer may bring a complaint to the State Consumer Rights Protection Authority of Lithuania (Valstybinė vartotojų teisių apsaugos tarnyba) or, where an online dispute resolution route is available, through the European Commission's ODR information, which is accessible at ec.europa.eu/consumers/odr.
